1. Acceptance of Terms

By accessing or using VetAssistant AI (the "Service"), operated by NexGen Technologies ("we", "us", or "our"), accessible at vetassistantai.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. The Service is available to users who are at least 18 years old. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into this agreement.

2. Description of Service

VetAssistant AI is an artificial intelligence-powered educational tool designed to provide general information about pet care, including but not limited to: • General pet care guidance and tips • Breed information and characteristics • Nutrition and feeding recommendations • Behavioral advice and training suggestions • Product selection guidance • AI-generated pet art and illustrations IMPORTANT LIMITATION: VetAssistant AI is NOT a substitute for professional veterinary care. The Service cannot and does not: • Diagnose medical conditions or illnesses • Prescribe medications or treatments • Provide emergency medical advice • Replace consultation with a licensed veterinarian For any medical concerns, symptoms of illness, or emergencies involving your pet, you must contact a licensed veterinarian immediately.

3. User Accounts and Access

3.1 Anonymous Usage Visitors may use up to 5 free questions per day without registration. Usage is tracked via a unique visitor identifier stored in your browser. 3.2 Registered Accounts (B2C) Users may create a free account using email/password or Google Sign-In. Upon registration, you receive 15 welcome questions at no charge. Registered accounts provide: • Access to conversation history • Ability to purchase subscription plans • Personalized usage tracking • AI pet art generation (depending on plan) You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 3.3 Subscription Plans (B2C) We offer the following paid plans: • Basic Plan — €7.99/month (≈$8.99 USD): 60 questions per month, 3 AI art generations per month • Premium Plan — €14.99/month (≈$16.99 USD): 200 questions per month, unlimited AI art generations • Question Pass — €2.99 (≈$3.49 USD) one-time: 10 additional questions (do not expire, can be accumulated) All plans are billed in Euros (EUR). Dollar equivalents are approximate and may vary based on exchange rates. Subscription plans renew automatically each month unless cancelled. 3.4 Clinic Access (B2B) Veterinary clinics may access the Service through dedicated API keys provided upon registration. Clinic accounts are subject to additional terms as specified in their service agreement and operate on separate plan tiers (Trial, Starter, Growth) with their own usage limits.

4. Payment Terms

4.1 Pricing and Currency All prices are displayed in Euros (EUR) as the primary currency. Approximate USD equivalents are shown for reference. Final charges are processed in EUR. Prices are subject to change with 30 days' prior notice; any changes will not affect active subscription periods. 4.2 Payment Processing Payments are processed securely through Stripe, a PCI-DSS compliant payment processor. We do not store your credit card information on our servers. Stripe handles all sensitive payment data. 4.3 Subscription Billing • Subscription plans (Basic and Premium) are billed monthly on a recurring basis. • Your subscription renews automatically on the same date each month unless cancelled. • You may cancel your subscription at any time through your account dashboard or by contacting support. • Upon cancellation, you retain access to your plan benefits until the end of the current billing period. • Usage counters (questions used, art generations) reset at the beginning of each new billing period. 4.4 Question Pass • Question Pass purchases are one-time, non-recurring payments. • Purchased questions do not expire and accumulate in your account. • Questions from a Pass are used after your monthly plan questions are exhausted. 4.5 Free Welcome Questions • New registered users receive 15 free welcome questions. • These questions do not expire but are non-renewable. • Free questions are used before any subscription or Pass questions. 4.6 Refund Policy Subscription Plans (Basic / Premium): • You may cancel at any time. No refund is issued for the current billing period, but you retain full access until the period ends. • Refund requests for the current period may be considered within 48 hours of the charge if no questions were used during that period. Contact us at [email protected]. • After 48 hours or if questions have been used, no refunds are issued for subscription payments. Question Pass (one-time purchase): • Refunds are available within 14 days of purchase if no questions from the Pass have been used. • Once any Pass questions have been used, no refund is available. Technical Issues: • If you experience verified technical issues preventing you from using purchased questions or features, contact us within 30 days for a credit extension or, at our discretion, a full refund. • Technical issues must be documented and reproducible. Free Questions: • Free welcome questions and anonymous daily questions are provided at no charge and are not eligible for any form of compensation. 4.7 Chargebacks Disputed charges should first be addressed through our customer support at [email protected]. Filing an unauthorized chargeback without first contacting us may result in immediate account suspension and loss of remaining credits.

5. Acceptable Use Policy

You agree NOT to use the Service to: • Attempt to obtain medical diagnoses or prescriptions • Submit false or misleading information • Use automated systems, bots, or scrapers to access the Service • Reverse engineer, decompile, or attempt to extract source code • Interfere with or disrupt the Service's infrastructure • Share your account credentials with unauthorized parties • Use the Service for any illegal or unauthorized purpose • Harass, abuse, or harm others through the Service • Transmit malware, viruses, or harmful code • Generate offensive, illegal, or harmful content through the AI art feature • Circumvent usage limits, billing systems, or access controls Violation of these terms may result in immediate termination of access without refund.

6. AI-Generated Content

6.1 Chat Responses AI-generated responses are provided for informational and educational purposes only. They should not be relied upon as professional veterinary advice. Responses may occasionally contain inaccuracies or outdated information. 6.2 AI Pet Art The AI art generation feature creates illustrations based on text descriptions. By using this feature: • You receive a non-exclusive, personal license to use generated images for non-commercial purposes. • Generated images are not guaranteed to be unique; similar prompts may produce similar results. • You must not use generated images for offensive, misleading, or illegal purposes. • Commercial use of generated images requires explicit written permission from NexGen Technologies. 6.3 No Guarantee of Accuracy We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. Users should verify important information with qualified professionals.

7. Intellectual Property

7.1 Our Content All content, features, and functionality of the Service, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of NexGen Technologies or its licensors and are protected by international copyright, trademark, and other intellectual property laws. 7.2 User Content By submitting questions or content to the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content for the purpose of providing and improving the Service. We may use anonymized and aggregated data for research and service improvement. 7.3 Trademarks "VetAssistant AI" and the VetAssistant AI logo are trademarks of NexGen Technologies. Use of these trademarks without prior written permission is prohibited.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO: • Merchantability or fitness for a particular purpose • Accuracy, reliability, or completeness of information • Uninterrupted or error-free operation • Compatibility with your devices or software • Quality or correctness of AI-generated art MEDICAL DISCLAIMER: The information provided by VetAssistant AI is for educational purposes only and should not be considered veterinary medical advice, diagnosis, or treatment. Always seek the advice of a qualified veterinarian for any medical questions regarding your pet's health. We do not warrant that the Service will meet your requirements or that any errors will be corrected. Your use of the Service is at your sole risk.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXGEN TECHNOLOGIES AND ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, revenue, data, or business opportunities • Personal injury or property damage resulting from your use of the Service • Any harm to your pet resulting from reliance on information provided by the Service • Any unauthorized access to or alteration of your data • Any third-party conduct or content • Failure to deliver AI-generated art meeting specific expectations OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR €50 (WHICHEVER IS GREATER). Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you. For EU/EEA consumers, this does not affect your statutory rights.

10. Indemnification

You agree to indemnify, defend, and hold harmless NexGen Technologies and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: • Your use of the Service • Your violation of these Terms • Your violation of any rights of a third party • Any content you submit to the Service • Your failure to seek proper veterinary care for your pet • Misuse of AI-generated content or art

11. Modifications to Service and Terms

11.1 Service Modifications We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time. For material changes affecting paid features: • We will provide at least 30 days' notice to subscribers. • If you do not agree with the changes, you may cancel your subscription before they take effect. 11.2 Pricing Changes • Price changes for subscription plans will take effect at the start of the next billing period after notice. • Active subscriptions will not be affected mid-cycle. 11.3 Terms Modifications We may update these Terms from time to time. The updated version will be indicated by an updated "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms. Material changes will be communicated via email (if you have an account) or through a prominent notice on the Service.

12. Termination

12.1 By You You may stop using the Service at any time. • For subscription plans, you may cancel through your account dashboard or by contacting support at [email protected]. • Upon cancellation, your subscription remains active until the end of the current billing period. • You may request account deletion, which will remove your personal data, conversation history, and subscription data (subject to legal retention requirements). 12.2 By Us We may terminate or suspend your access immediately, without prior notice, for: • Breach of these Terms • Suspected fraudulent or illegal activity • Non-payment of fees • Abuse of the Service or excessive usage beyond plan limits • Extended inactivity (12+ months for free accounts) Upon termination by us: • Active subscription refunds are at our sole discretion. • Unused Question Pass credits are forfeited if termination was due to Terms violation. • Unused Question Pass credits may be refunded if termination was not due to user misconduct.

13. Governing Law and Disputes

13.1 Governing Law These Terms shall be governed by and construed in accordance with the laws of Ireland, where NexGen Technologies primarily operates. For EU/EEA users, applicable consumer protection laws of your country of residence will also apply. 13.2 Dispute Resolution Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation by contacting us at [email protected]. If negotiation fails within 30 days, disputes shall be submitted to the competent courts of Ireland, unless you are a consumer in the EU/EEA, in which case you may bring proceedings in your country of residence. 13.3 EU Consumer Rights If you are a consumer in the European Union, you benefit from mandatory provisions of consumer protection laws in your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions. 13.4 Online Dispute Resolution EU consumers may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/odr.

14. Miscellaneous

14.1 Entire Agreement These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and NexGen Technologies. 14.2 Severability If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. 14.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 14.4 Assignment You may not assign or transfer your rights under these Terms. We may assign our rights without restriction. 14.5 Force Majeure We shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet/infrastructure outages. 14.6 Language These Terms are provided in English and Spanish. In case of any discrepancy between the two versions, the English version shall prevail.
